This End-User License Agreement (“Agreement”) governs your access to and use of the internal AI and orchestration system (“System”) provided by Cast Services, Inc. (“Company,” “we,” “our”). By accessing or using the System, you (“User,” “you”) acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement.

The System is accessible exclusively through a Tailscale VPN connection with authenticated secure access. It is intended solely for internal use by authorized personnel.

1. Definitions

“System” means the internal AI-powered platform, including all orchestration workflows, AI models, APIs, dashboards, and related components operated by the Company for internal business purposes.

“Authorized User” means any employee, contractor, or agent of the Company who has been granted access credentials and Tailscale VPN authorization to use the System.

“Orchestration” means the automated coordination, sequencing, and management of AI tasks, workflows, integrations, and data pipelines within the System.

“Tailscale VPN” means the private, encrypted network overlay through which all access to the System is routed and authenticated.

2. License Grant

Subject to the terms of this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the System solely for authorized internal business purposes. This license does not convey any ownership interest in the System or its underlying technology.

3. Access & Security Requirements

Access to the System is restricted to Authorized Users connecting through the Tailscale VPN. You agree to:

• Maintain the confidentiality of your access credentials and VPN configuration at all times
• Never share, lend, or transfer your credentials or VPN access to any unauthorized individual
• Immediately report any suspected unauthorized access, security breach, or credential compromise to [email protected]
• Comply with all Company security policies, including multi-factor authentication requirements where applicable
• Access the System only from devices that meet the Company’s minimum security standards

4. Permitted Use

You may use the System exclusively for internal business operations as authorized by the Company. Permitted uses include:

• Executing AI-assisted workflows and orchestration tasks within the scope of your role
• Generating, reviewing, and acting on System outputs in the course of your duties
• Integrating System capabilities with other authorized internal tools and platforms
• Providing feedback and reporting issues to improve System performance

5. Prohibited Use

You shall not, directly or indirectly:

• Access or attempt to access the System outside of the Tailscale VPN or without valid credentials
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or architecture of the System
• Copy, modify, adapt, translate, or create derivative works of the System or any component thereof
• Sublicense, lease, sell, distribute, or otherwise make the System available to any third party
• Use the System for any unlawful, fraudulent, or malicious purpose
• Attempt to circumvent, disable, or interfere with any security features, access controls, or usage limitations
• Input or process data that violates any applicable law, regulation, or Company policy
• Use System outputs to train, fine-tune, or develop competing AI models or services
• Use the System for any personal, non-business purpose

6. AI-Specific Terms

6.1 AI Outputs

The System generates outputs using artificial intelligence and orchestration technologies. AI-generated outputs are provided on an “as-is” basis. You acknowledge that:

• AI outputs may contain errors, inaccuracies, or biases and should not be relied upon as the sole basis for critical business decisions
• You are responsible for reviewing, validating, and verifying AI outputs before acting on them
• The Company does not guarantee the accuracy, completeness, reliability, or fitness for any particular purpose of AI-generated outputs

6.2 Orchestration Workflows

Automated orchestration workflows may execute sequences of tasks involving multiple AI models and integrations. You acknowledge that:

• Orchestrated workflows operate according to predefined rules and configurations managed by the Company
• You shall not modify, bypass, or interfere with orchestration logic without explicit authorization
• Results from orchestrated workflows should be reviewed in context and validated as appropriate

6.3 No External AI Training

No data processed by the System is used to train, fine-tune, or improve any external AI models. All AI processing occurs within the Company’s controlled infrastructure behind the Tailscale VPN.

7. Intellectual Property

The System, including all software, algorithms, models, workflows, documentation, and related materials, is and shall remain the exclusive property of the Company and its licensors. This Agreement does not grant you any rights to patents, copyrights, trade secrets, trademarks, or any other intellectual property rights except the limited license expressly granted herein.

Any feedback, suggestions, or improvements you provide regarding the System shall become the property of the Company, and you hereby assign all rights therein to the Company.

8. Disclaimer of Warranties

THE SYSTEM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SYSTEM, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, BUSINESS INTERRUPTION, OR RELIANCE ON AI-GENERATED OUTPUTS, REGARDLESS OF THE THEORY OF LIABILITY.

10. Termination

This license is effective until terminated. The Company may suspend or terminate your access at any time, with or without cause, and without prior notice. Upon termination, you shall immediately cease all use of the System. Sections 5, 7, 8, 9, and 11 shall survive termination of this Agreement.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions.

12. Amendments

The Company reserves the right to modify this Agreement at any time. Updated terms will be communicated to Authorized Users via email. Continued use of the System after such notification constitutes acceptance of the modified terms.
